Imaging PVR - End User License Agreement

IMPORTANT READ CAREFULLY: By installing, copying and /or using this software product you indicate your acceptance of the following software agreement.

This end-user licence agreement is a legal agreement between you (either an individual or a single entity) and Imaging Intelligence for use of the software product identified above. The agreement includes computer software and associated media and printed materials, and may include online (Internet) or electronic documentation (software product or software). By installing, copying, or otherwise using the software product, you agree to be bound by the terms of this licence agreement.

Software Product Licence

The software product is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The software product is licensed, not sold.

Software is delivered as evaluation copies. You are sent an activation code after your payment. Purchased software licences are guaranteed for 90 days. Trial copies are supplied on an 'as is' basis and are covered by no guarantee or warranty.

The software is not available for sale to customers from the United States of America.

Grant of Licence

Unless you purchase a site licence for 2 or more computers you may install and use one copy of the software product on a single computer. You may also store or install a copy of the software product on a storage device, such as CD, disk media or a network server, (used only to install or run the software product on your other computers over an internal network). However, you must acquire and dedicate a licence for each separate computer on which the software product is installed or run from the storage device. A licence for the software product may not be shared or used concurrently on different computers. You may not place the software on the Internet.

OTHER RESTRICTIONS AND RIGHTS

Limitations on Reverse Engineering, Recompilation and Disassembly.

You may not reverse engineer, decompile, or disassemble the software product, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. You may not distribute the software without express permission, change it or use it as part of another product.

You may not modify. adapt, translate or create derivative works based on the software. You may not integrate the software in any other software or plug-in.

Rental

You may not rent or lease the software product.

Software Transfer

You may permanently transfer all of your rights under this software licence agreement provided you retain no copies, you transfer all of the software product (including all component parts, the media and printed materials, any upgrades and this licence agreement), and the recipient agrees to the terms of this software licence. If the software product has been upgraded, any transfer must include all prior versions of the software product. You need to inform us of your intention to do this so that the software will continue working after transfer.

Separation of Components

The software product is licensed as a single product. Its component parts may not be separated for use on more than one computer.

Termination

Without prejudice to any other rights, Imaging Intelligence may terminate this software licence agreement if you fail to comply its the terms and condition. In such event, you must destroy all copies of the software product .

Updates

If the software product is an update you now may use that upgraded product only in accordance with this software licence. Neither the update, nor the previous version may not be installed on more than one computer or the limit of your site licence. You must possess a valid licence for the previous software to receive an update.

Third party websites

The Software may allow you to access third party websites Your access to and use of any third party sites, including any goods, services or information made available from such sites, is your responsibility and governed by the terms and conditions, if any, found at each third party site.

Your use of third party sites is at your own risk. Imaging Intelligence makes no warranties, conditions, indemnities, representations or terms, express or implied, whether by statute, common law, custom, usage or otherwise as to any other matters, including but not limited to non-infringement of third party rights, title, integration, accuracy, security, availability, satisfactory quality, merchantability or fitness for any particular purpose with respect to the third party sites.

Copyright

All title and copyrights in and to the software product (including but not limited to any images, photographs, animation, video, audio, music, text, and applets, incorporated into the software product), the accompanying printed materials, and any copies of the software product, are owned by Imaging Intelligence . The software product is protected by copyright laws and international treaty provisions.

Therefore, you must treat the software product like any other copyrighted material except that you may (a) make one copy of the software product solely for backup or archival purposes, or (b) install the software product on a single computer provided you keep the original solely for backup or archival purposes, or (c) You may not copy the printed materials accompanying the software product.

DUAL-MEDIA software. You may receive the software product in more than one medium. Regardless of the type or size of medium you receive, you may use only one medium that is appropriate for your single computer. You may not use or install the other medium on another computer. You may not loan, rent, lease, or otherwise transfer the other medium to another user, except as part of the permanent transfer (as provided above) of the software product.

Product Support

Free product support by email after purchase by e-mail will be provided by Imaging Intelligence for 90 days. Before product support is provided, Imaging Intelligence will require details of your licence number and proof of purchase. Should you have any questions concerning this software licence agreement, please contact Imaging Intelligence.

Limited Warranty

Imaging Intelligence warrants that (a) the software product will perform substantially in accordance with the accompanying written materials for a period of ninety (90) days from the date of receipt. There is no warranty of any kind for the free demo software, which is provided on an "as is" basis.

Customer Remedies

Informal

If you do have problems after purchase, please contact us and we will try to remove any bug you've found and supply a free update.

Formal

Imaging Intelligence's entire liability and your exclusive remedy shall be, at Imaging Intelligence's option, either (a) return of the price paid, or (b) repair or replacement of the software product that does not meet Imaging Intelligence's Warranty and which is returned to Imaging Intelligence with a copy of your receipt. Acknowledgement of your complaint will be given within 5 working days. This Limited Warranty is void if failure of the software product has resulted from accident, abuse, or misapplication. Any replacement software product will be warranted for the remainder of the original warranty period or thirty (30) days, whichever is longer. Neither these remedies nor any product support services offered by Imaging Intelligence are available without proof of purchase from an authorized source.

No Other Warranties

To the maximum extent permitted by applicable law, Imaging Intelligence disclaims all other warranties, either express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose, with regard to the software product.

In no event shall Imaging Intelligence be liable for any special, incidental, indirect or consequential damages whatsoever (Including without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use or inability to use the software product, even if Imaging Intelligence has been advised of the possibility of such damages.

Jurisdiction

Any legal dispute with Imaging Intelligence must be resolved by the Scottish legal system.
